1. Acceptance of Terms
By accessing or using Tarz Agency’s website, requesting a quote, or entering into a project agreement, you acknowledge that you have read, understood, and agree to these Terms and Conditions. If you do not agree, you may not use our services.
These Terms apply to all clients, visitors, and users who engage with Tarz Agency in any capacity.
2. Scope of Services
Tarz Agency provides professional web design, development, branding, and related digital services.
We reserve the right to modify or discontinue any service at any time without prior notice.
Project Proposals: All quotes or proposals provided by Tarz Agency are valid for 15 days unless otherwise stated.
Third-Party Services: Some services may involve third-party integrations (e.g., hosting, domain registration, plugins, etc.). Tarz Agency is not responsible for downtime, issues, or limitations caused by third-party providers.
3. Client Responsibilities
To ensure successful project delivery, the Client agrees to:
Provide all required materials (content, logos, images, credentials, etc.) promptly.
Review all deliverables and provide timely feedback.
Ensure that all materials supplied do not infringe on the rights of any third party.
Delays in providing content, approvals, or payments may result in project timeline adjustments or additional fees.
4. Payments and Fees
Deposit: A non-refundable deposit of 50% (unless otherwise agreed in writing) is required before project commencement.
Final Payment: The remaining balance is due upon project completion, before website handover or launch.
Late Payments: Invoices not paid within 7 days may incur a 5% late fee per week. Tarz Agency reserves the right to pause or terminate work until payment is received.
All payments are non-refundable once work has commenced, except in cases of proven non-performance by Tarz Agency.
5. Revisions and Approvals
Each project includes a specific number of design revisions, as outlined in your proposal. Additional revisions beyond the agreed limit may incur extra charges.
Once a project phase (such as design or development) is approved, any subsequent changes will be treated as a new request and billed separately.
6. Intellectual Property Rights
Ownership: Upon full payment, the Client owns the final website design, text, and graphics created specifically for their project.
Agency Portfolio Rights: Tarz Agency retains the right to showcase completed projects, mockups, and related materials in its portfolio or marketing materials.
Pre-Existing Assets: Any tools, templates, or code libraries developed or owned by Tarz Agency remain our intellectual property and are licensed to you for use — ownership is not transferred.
7. Confidentiality
Both parties agree to treat all project-related information as confidential.
Tarz Agency will not share or disclose any sensitive client data or materials without written consent, except as required by law.
8. Warranties and Disclaimers
Tarz Agency provides its services “as is” and “as available.”
While we take great care in our work, we do not guarantee that a website will be error-free, uninterrupted, or compatible with all browsers or devices.
We are not responsible for:
Client-provided content or materials.
Website downtime or data loss caused by hosting or third-party services.
SEO performance or digital marketing outcomes.
9. Limitation of Liability
To the fullest extent permitted by law, Tarz Agency and its team shall not be liable for any indirect, incidental, or consequential damages — including loss of profits, data, or reputation — arising from:
Use or inability to use the website,
Delays or project changes,
Third-party service failures.
Our total liability shall not exceed the total amount paid by the Client for the specific project in question.
10. Termination
Either party may terminate a project agreement by providing written notice.
If the Client terminates the project after work has begun, all payments made are non-refundable, and any completed work remains the property of Tarz Agency until full payment is received.
Tarz Agency may terminate or suspend services immediately if the Client:
Violates these Terms,
Engages in abusive or unprofessional behavior,
Fails to make payment.
11. Revisions to Terms
Tarz Agency reserves the right to modify or update these Terms at any time.
The latest version will always be posted on our website. Continued use of our services after changes are made constitutes acceptance of the updated Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
